Terms of Service for brarklyxxet

Effective Date: October 16, 2026

These Terms of Service (the "Terms") govern access to and use of the website, platforms, applications, and live-event-broadcasting services provided by brarklyxxet, a business located at 410 Confederation Parkway, Suite 203, Mississauga, ON L5B 3R3, Canada ("brarklyxxet", "we", "us", or "our"). By accessing, browsing, purchasing, or using any of our services or website located at brarklyxxet.pro (the "Site"), you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Site or our services. These Terms are intended to be interpreted and applied in a manner consistent with applicable laws in Canada, including applicable federal and provincial laws, consumer protection laws, privacy laws, and any rules governing online commercial activity.

1. Introduction and Acceptance of Terms

These Terms form a legally binding agreement between you and brarklyxxet regarding your access to and use of our live-event-broadcasting services, related digital tools, customer support, and any other features, content, products, or services offered by us from time to time.

By using the Site or engaging brarklyxxet to provide live-event-broadcasting services, you represent and warrant that:

  • you have read, understood, and agree to these Terms;
  • you are of the age of majority in your jurisdiction, or you have the consent of a parent or legal guardian and are permitted to enter into this agreement;
  • if acting on behalf of an organization, you have authority to bind that organization to these Terms; and
  • your use of the services complies with all applicable laws and regulations.

We may require additional agreements, statements of work, event-specific terms, service orders, or production schedules for particular projects. If there is any conflict between these Terms and a separately signed agreement with brarklyxxet, the separately signed agreement will prevail to the extent of the conflict.

2. Scope of Services

brarklyxxet provides live-event-broadcasting services, which may include, without limitation:

  • live streaming and webcast production;
  • multi-camera coverage and switching;
  • audio and video capture, encoding, and transmission;
  • pre-event technical planning and on-site coordination;
  • platform setup and stream management;
  • live moderation or event support;
  • recording, highlight creation, and post-event delivery where agreed; and
  • related consulting or production services.

Service availability, technical specifications, deliverables, timelines, event capacity, and pricing may vary depending on the event requirements, venue conditions, third-party platform limitations, and the service package selected. We may subcontract qualified third parties to perform parts of the services, while remaining responsible for the services we contractually provide, subject to these Terms.

You acknowledge that live-event broadcasting is dependent on factors outside our control, including venue power, network connectivity, equipment compatibility, audience or speaker conduct, platform stability, weather conditions, and third-party service performance. brarklyxxet does not guarantee uninterrupted or error-free live transmission.

3. User Obligations and Responsibilities

You agree to:

  • provide accurate, complete, and timely information necessary for us to deliver the services;
  • obtain and maintain all necessary permissions, permits, releases, venue access rights, and third-party consents required for the event;
  • ensure that the event, venue, and all participant activities comply with applicable laws, safety rules, and venue policies;
  • secure any rights, licenses, and approvals needed for music, performances, imagery, presentations, trademarks, and other copyrighted or protected materials used in the event;
  • advise us in advance of any special technical, legal, safety, privacy, accessibility, or confidentiality requirements;
  • cooperate with our personnel and follow reasonable technical or operational instructions necessary to provide the services;
  • not interfere with, damage, disable, reverse engineer, or attempt unauthorized access to the Site, systems, or equipment;
  • not use our services for unlawful, defamatory, infringing, fraudulent, obscene, hateful, or harmful purposes; and
  • ensure that all end users, attendees, presenters, or other persons under your control comply with these Terms where applicable.

You are solely responsible for the content of any event, stream, materials, instructions, or media you provide to brarklyxxet. You represent that you have all rights necessary to provide such materials and to authorize us to process, transmit, display, record, and store them in connection with the services.

4. Payment Terms and Conditions

Unless otherwise stated in a separate written agreement or invoice, fees are payable in Canadian dollars (CAD). Pricing may include setup fees, equipment charges, production fees, staffing fees, overtime, travel costs, third-party platform fees, licensing costs, and applicable taxes.

  • Invoices: Invoices are due according to the payment terms shown on the invoice or service order. If no due date is specified, payment is due within 15 days of invoice date.
  • Deposits: We may require a non-refundable deposit to reserve dates, equipment, and personnel.
  • Late payments: Overdue amounts may accrue interest at the maximum rate permitted by applicable law or, if lower, at 1.5% per month (18% per annum), from the due date until paid.
  • Disputed amounts: You must notify us in writing of any bona fide invoice dispute within 7 days of receipt and pay all undisputed amounts when due.
  • Taxes: You are responsible for all applicable taxes, duties, levies, and government charges, except those based on our net income.
  • Chargebacks: Unauthorized chargebacks or payment reversals may constitute a material breach of these Terms.

brarklyxxet may suspend or withhold services, access, deliverables, or event support if payment is overdue, subject to any mandatory legal requirements and any express written agreement to the contrary.

5. Cancellation and Refund Policy

Cancellations must be made in writing to [email protected]. Cancellation terms may vary depending on the event date, staffing commitments, equipment reservations, vendor obligations, and written contract terms.

  • Client cancellation more than 30 days before the event: deposits may be retained to cover administrative costs, scheduling, and planning.
  • Client cancellation 15 to 30 days before the event: you may be charged a cancellation fee up to 50% of the total service fee, plus non-recoverable costs.
  • Client cancellation fewer than 15 days before the event: you may be charged up to 100% of the agreed service fee, plus non-recoverable third-party and staffing costs.
  • Same-day cancellation or no-access situations: full charges may apply where we have already committed resources, unless prohibited by law.

Refunds, if any, are issued only where required by law or expressly stated in a separate written agreement. In the event of partial performance due to circumstances within our reasonable control, any refund or credit will be determined in good faith based on the portion of services not delivered. No refund is available for:

  • technical failures caused by venue issues, internet outages, power interruptions, third-party platform disruptions, or client-provided equipment or content;
  • client delays, missing information, or lack of cooperation;
  • changes in event scope after confirmation; or
  • non-refundable third-party costs already incurred on your behalf.

6. Liability Limitations

To the fullest extent permitted by applicable law, brarklyxxet shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, goodwill, business opportunity, data, or anticipated savings, arising out of or related to these Terms or the services, even if advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability for any claim arising out of or relating to the services, the Site, or these Terms shall not exceed the total fees actually paid by you to brarklyxxet for the specific services giving rise to the claim during the three (3) months preceding the event giving rise to liability, or CAD $500, whichever is greater, unless a higher amount is required by applicable law or expressly agreed in writing.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, wilful misconduct, or gross negligence where such limitation is not permitted.

You acknowledge that live-event broadcasting involves inherent risks, including equipment failure, human error, signal interference, third-party service interruption, and unforeseen venue or environmental conditions. brarklyxxet makes no warranty that the services will be uninterrupted, secure, error-free, or suitable for every intended purpose.

7. Intellectual Property Rights

All intellectual property rights in and to the Site, our branding, software, workflows, templates, methods, designs, graphics, text, logos, and materials created or owned by brarklyxxet remain the exclusive property of brarklyxxet or its licensors, unless otherwise expressly agreed in writing.

Upon full payment of applicable fees, and subject to any third-party rights and separate written agreements, you are granted a limited, non-exclusive, non-transferable, revocable license to use final deliverables created specifically for you for the purpose for which they were commissioned. No ownership in our pre-existing materials, tools, or proprietary processes is transferred to you.

You grant brarklyxxet a worldwide, non-exclusive, royalty-free license to host, copy, transmit, process, display, record, and otherwise use any content, materials, trademarks, and media you provide solely as necessary to perform the services and fulfill our contractual and legal obligations.

If you provide music, footage, images, presentations, or other copyrighted content, you are solely responsible for securing all necessary licenses and permissions. We may refuse to use any content that, in our reasonable judgment, may violate law or infringe third-party rights.

8. Data Protection and Privacy

brarklyxxet collects, uses, discloses, and retains personal information in accordance with applicable Canadian privacy laws and our privacy practices. We will take reasonable measures to protect personal information against unauthorized access, use, disclosure, alteration, or destruction.

Personal information may be collected from you, your representatives, event attendees, or technical systems in connection with service delivery, billing, support, communications, security, analytics, and legal compliance. We may share personal information with service providers, contractors, payment processors, cloud providers, and platform partners solely as necessary to provide the services, subject to contractual confidentiality and security obligations where appropriate.

You are responsible for ensuring that you have provided any necessary notices and obtained any required consents from attendees, presenters, staff, or other individuals whose personal information or likeness may be captured, recorded, transmitted, or otherwise processed during the event.

Where our services involve live or recorded video and audio, you acknowledge that broadcast content may contain personal information or identifiable images. You must inform relevant participants about the nature of the broadcasting, recording, and distribution activities and comply with any applicable privacy, consent, and workplace obligations.

For questions about privacy or personal information, contact us at [email protected].

9. Force Majeure

brarklyxxet shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to acts of God, fire, flood, severe weather, earthquakes, epidemic or pandemic events, governmental actions, war, terrorism, civil unrest, labour disputes, utility failure, internet outages, platform outages, supply chain disruptions, equipment failure caused by third parties, or venue unavailability.

In such circumstances, our obligations will be suspended for the duration of the force majeure event. We will use commercially reasonable efforts to resume performance or mitigate the impact where practical. If a force majeure event materially prevents performance, the parties may agree in good faith to reschedule, modify, or terminate the affected services, subject to payment for work performed and non-recoverable costs incurred.

10. Changes to Terms

We may update or modify these Terms from time to time to reflect changes in our services, business practices, or applicable law. Updated Terms will be posted on the Site with a revised effective date.

Your continued use of the Site or services after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the services. Changes will not retroactively alter any separately executed written agreement unless that agreement expressly permits such modification.

11. Applicable Law and Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to them, the Site, or the services shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Subject to any mandatory consumer protection or arbitration rights that cannot be waived under applicable law, you agree that the courts located in the Province of Ontario shall have exclusive jurisdiction over any dispute arising from or relating to these Terms or the services. You irrevocably attorn to the jurisdiction of those courts.

If you are a consumer resident in another Canadian province or territory, you may benefit from mandatory rights or venue protections under applicable law that cannot be excluded by contract.

13. Severability Clause

If any provision of these Terms is held to be invalid, unlawful, void, or unenforceable by a court or other competent authority, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

Where any invalid or unenforceable provision can be modified to make it valid and enforceable, it shall be deemed modified to the minimum extent necessary to achieve that result while preserving the parties' original intent as closely as possible.

Entire Agreement. These Terms, together with any applicable service order, proposal, invoice, or separately executed agreement, constitute the entire agreement between you and brarklyxxet with respect to the subject matter hereof and supersede prior or contemporaneous understandings on that subject matter.

Waiver. No waiver of any provision shall be effective unless in writing. A failure to exercise or enforce any right or provision shall not constitute a waiver of that right or provision.
